Annual meeting of Sheremetyevo International Airport stockholders was held

The annual meeting of stockholders of Sheremetyevo International Airport (JSC SIA) was held on June 24, 2019. The stockholders approved the annual statement for 2018, elected a new Board of Directors, and made decisions on a number of matters.

2018 was a significant year for the development of the airport: Sheremetyevo became one of the largest airports in the world with annual passenger traffic of over 40 million people a year. It was acknowledged by respected and independent international organizations, such as ACI, Skytrax, OAG, Flightstats, and others. A range of large-scale infrastructure projects, unique and one-of-a-kind for Russia were implemented, as laid out in the Long-Term Airport Development Program (until 2026).


The Northern Terminal Complex is undergoing large-scale reconstruction. The following facilities have been built and commissioned: Terminal B with an aircraft parking apron and multi-level parking; an inter-terminal passage connecting the Southern and Northern terminal zones; the first stage of the Moscow Cargo freight terminal; the third fueling complex.


The short-term plan includes finishing the construction of the first stage of Terminal C by the end of 2019. The project for the second stage of the terminal's construction is under way. Also this year, a third independent runway, built as part of the federal program Development of the Russian Federation Transport Infrastructure (until 2020) with the use of public funds, will be commissioned.


In late 2018, the Federal Air Transport Agency and JSC SIA signed a concessionary agreement for 49 years for new construction facilities and the reconstruction of the Sheremetyevo airport aviation infrastructure. Centerpieces of this agreement were the construction and reconstruction of the airport facilities with the use of non-budgetary investments. As part of the agreement, airport investments will amount to approximately 61 billion rubles.


Due to its state-of-the-art infrastructure, Sheremetyevo airport successfully welcomed participants and guests to the 2018 FIFA World Cup. During the World Cup, the airport served 4.7 million passengers and provided 33,800 takeoff and landing operations at a high organizational level.


2018 saw Sheremetyevo demonstrate record growth across its main performance indicators while remaining a global leader in the punctual performance of flights based on the OAG rating. Passenger traffic reached 45,836,000 people, which was 14.3% higher than in 2017. The number of takeoff and landing operations amounted to 357,228 and demonstrated a 15.9% growth. So, in 2018 Sheremetyevo secured its position as a leader in the Moscow Air Hub with the biggest share, servicing 47.1% of the entire passenger traffic and providing 46.4% of takeoff and landing operations of the Moscow Air Hub. According to the annual ACI report, in terms of the pace of development of the route network, Sheremetyevo International Airport ranked second in Europe among airports with an annual passenger traffic of more than 25 million people. In 2018, Sheremetyevo opened 37 new domestic and international destinations, and their total number reached 220.


The key factors for passenger traffic growth in Sheremetyevo for 2018 were: the growing volume and further development of the route network of Aeroflot and other aviation partners, progressive growth of the transfer passenger traffic of the airport, and the arrival of new airlines. In 2018, the traffic of transfer passengers amounted to 15.9 million people, which accounts for 35% of the total passenger traffic. In 2018, new airlines started making flights from Sheremetyevo: Azur Air, British Airways, Cham Wings, Rossiya, and Ural Airlines.


2018 showed a 5% increase in the airport's cargo turnover, bringing the total volume of cargo processed in Sheremetyevo to over 300 thousand tons, which includes about 36 thousand tons of mail. In the cargo processing sector, Sheremetyevo has established itself as a leader among the Moscow Air Hub airports, with a 62.8% market share (according to the Federal Air Transport Agency).


JSC SIA achieved a significant growth in financial performance indicators in 2018: airport revenue was 31,990 million rubles, an increase of 12.2% compared to the same period of 2017, including a 1.7% increase in aviation activities and a 30.9% increase in non-aviation activities. The cost of goods sold grew by 6.6% to 10,643 million rubles.


The gross profit of JSC SIA in 2018 was 21,347 million rubles, surpassing 2017 by 15.3%. The company's net profit as of the end of 2018 was 9,216 million rubles. This was 7.7% less than the same period of 2017 and was mostly due to changes in the exchange rate.

During the meeting, JSC SIA stockholders approved annual financial statements, including the appropriation of 2018 profits to the amount of 9,215,927,026 rubles:


– 3,699,000,000 rubles have been assigned to pay dividends on JSC SIA shares;
– the remaining JSC SIA profit to the amount of 5,516,927,026 rubles is left at the disposal of JSC SIA for funding current operations and investment projects of the joint-stock company.
The following Board of Directors of JSC SIA was elected at the meeting:
• A.A. Ponomarenko, Chairman of the Board of Directors of JSC SIA;
• A.I. Skorobogatko, Member of the Board of Directors of JSC SIA;
• M.M. Vasilenko, General Director of JSC SIA;
• R.N. Zinovyev, President of Sheremetyevo Holding LLC;
• A.S. Smagin, First Vice-President — Investment Director of Sheremetyevo Holding LLC;
• L.R. Nisenboim, Head of the Administration of the autonomous non-profit organization "Analytical Center for the Government of the Russian Federation";
• I.S. Petrov, Deputy Head of the Federal Agency for State Property Management;
• A.A. Yurchik, Deputy Minister of Transport of the Russian Federation;
• V.V. Yakovenko, Head of the Federal Agency for State Property Management.

The stockholders elected a new audit committee of JSC SIA, which included:
• Y. A. Levitina, Vice President of Finance of Sheremetyevo Holding LLC;
• G.V. Utkina, Head of the Planning and Budgeting Management Board of Sheremetyevo Holding LLC;
• M.V. Sorokin, Head of the Board of Management of the Federal Agency for State Property Management.

Ernst & Young LLC was approved as the auditor of JSC SIA for 2019.
The stockholders approved the participation of Sheremetyevo International Airport JSC in the Russian National Employer's Association Russian Union of Industrialists and Entrepreneurs.
