Russia-Ukraine joint venture UAC-Antonov has started its work

The first meeting of the UAC-Antonov Russia-Ukraine joint venture’s Board of Directors has taken place. The main items of the meeting were selection of joint venture’s executive board, adoption of the budget and organizational structure of UAC-Antonov, designation of planned activities for the nearest future, UAC reports. Antonov’s Chairman of the Management Board, Dmitry Semenovich Keeva, has been elected Chairman of joint venture’s Board of Directors and the UAC’s vice-president, Alexander Vladimirovich Tulyakov has been elected his deputy. The Board of Directors has approved the operational plan for the next 6 months and the venture’s organizational structure. The Board of Directors has also adopted the joint venture’s budget for the initial phase. Contracts signed by UAC-Antonov with UAC, Antonov and other enterprises in the network of operational plan implementation will be the sources for covering the expenditure budget.

The establishers of UAC-Antonov are on parity basis UAC and Antonov: each of the partners owns a 50% share in the venture. According to the decision of the General meeting of establishers, Yuri Vladimirovich Grudinin has been elected CEO of UAC-Antonov.

The principles for managing and executive board formation have been defined by joint venture’s formation agreement, signed by UAC and Antonov on October 27th 2010 in the presence of Chairman of the Government of Russian Federation, Vladimir Putin and Prime-Minister of Ukraine Nikolay Azarov.

The Board of Directors of UAC-Antonov has been formed on the basis of agency. It includes 12 members, six of them are proposed by UAC and the rest – By Antonov. The following persons have formed a part of the Board of Directors

On the part of Russia:

Aleshin Boris Sergeevich – CEO of TsAGI;

Alexander Viktorovich Lyagushkin – Director of UAC’s directorate for civil aircraft programs;

Mikhail Aslanovich Pogosyan – President of UAC;

Sergey Alekseevich Sergeev – Sukhoi Company’s Deputy Director General on precontractual work;

Alexander Vladimirovich Tulyakov – UAC’s vice-president on administrative issues;

Vladimir Lvovich Chirikov – UAC’s vice-president on corporate finance;

On the part of Ukraine:

Vasiliy Vasilievich Belinsky – CEO of Antonov concern;

Dmitry Semenovich Keeva – Antonov’s Chairman of the Management Board;

Vladimir Nikolaevich Korol – CEO of Antonov;

Georgy Alekseevich Krivov – Chairman of the Management Board of UKRNDIAT;

Anatoly Konstantinivich Myalitsa – CEO of Kharkov state aircraft production enterprise;

Nikolay Semenovich Podgrebelny – Vice-president and Director of Antonov’s branch.
